1. Services
EnvokeAI provides AI agents, integrations, reporting, and related services as described on our website
or in your Statement of Work. Service levels, onboarding, and support arrangements may vary by plan
and are outlined in your subscription or contract. We may update or enhance the services from time to
time, provided such changes do not materially reduce functionality.
2. Customer responsibilities
You agree to provide accurate and up-to-date information when creating your account or using the
services. You are responsible for the content you upload (including documents, FAQs, scripts, or API
keys) and must ensure you have the necessary rights or licences to use that content. You agree to
comply with all applicable laws, including privacy, telecommunication, and consumer protection
regulations. You are also responsible for ensuring that your end users use the services in a lawful
manner.
3. Fees & payment
Fees are charged monthly or annually as set out in your plan or invoice. All amounts are quoted in
New Zealand dollars and exclude GST unless stated otherwise. Payment is due within 14 days of the
invoice date unless otherwise agreed in writing. If payment is late, we may suspend access to the
services until payment is received in full. Subscription fees are non-refundable except as required
by law.
4. Intellectual property
EnvokeAI retains ownership of all intellectual property rights in the platform, software, and
documentation. You retain ownership of the content and data you provide, including documents,
transcripts, and API keys. By uploading or connecting content, you grant us a limited licence to
use it solely for the purpose of providing the services. We will not use your content for any other
purpose without your consent.
5. Data & privacy
Our handling of data is set out in our Privacy Policy. You remain the
controller of your data. We act as a processor in providing the services and apply appropriate
security and compliance measures to protect it. You are responsible for ensuring that your use of
the services complies with applicable privacy laws, including the New Zealand Privacy Act 2020.
6. Liability
To the maximum extent permitted by law, our liability for any claim relating to the services is
limited to the total fees paid by you in the 12 months preceding the claim. We are not liable for
indirect, incidental, or consequential losses, including lost profits, lost data, or business
interruption. Nothing in these terms excludes liability that cannot be excluded under New Zealand
law.
7. Term & termination
These terms commence on the date you first access the services and continue until terminated. You
may terminate your subscription with 30 days’ written notice after any initial minimum term. We may
suspend or terminate access immediately if you breach these terms, fail to pay fees, or misuse the
services. Upon termination, we will assist with data export and delete your data from our systems
within a reasonable timeframe, unless retention is required by law.
8. General
These terms are governed by the laws of New Zealand, and any disputes will be subject to the
exclusive jurisdiction of the New Zealand courts. If any part of these terms is held invalid, the
remainder will continue in full force. Our failure to enforce a right under these terms does not
constitute a waiver. These terms, together with your Statement of Work or subscription plan, form
the entire agreement between you and EnvokeAI.
